This Agreement is made between Waran Ltd (“WaranCloud”) and the Customer. By booking a strategy call, accepting a proposal, or making a payment, you agree to these terms. Governing Jurisdiction: Banadir, Somalia.

1. Scope of Services

WaranCloud provides digital infrastructure and communication tools including:

  • Web Design & Development: Professional Somali/English bilingual websites.
  • ERP Solutions: Purpose-built systems for specialized industries.
  • Cawiye CRM & Omni-channel Inbox: A SaaS-based customer support solution that centralizes inbound messages from WhatsApp Business, Website Live Chat, Facebook Messenger, Instagram, and Email into one collaborative dashboard.
  • Google Workspace Resale: Professional email and collaboration tools.

2. Cawiye SaaS & Hosting Options

SaaS Model (Standard): Cawiye is primarily delivered as Software-as-a-Service (SaaS) hosted on WaranCloud’s secure, shared infrastructure.

Enterprise Dedicated Hosting: For Enterprise clients requiring enhanced control, WaranCloud offers an option to host the CRM on a Dedicated Server. This environment is isolated specifically for the client's data and traffic.

Availability: We strive for 99.9% uptime. While we provide the "digital backbone," WaranCloud is not responsible for downtime caused by third-party API changes (e.g., Meta/WhatsApp platform updates).

3. Payment Terms & Non-Refundable Deposit

Initial Payment: For all projects (Web, ERP, or CRM Setup), an initial deposit is required. This payment is strictly non-refundable. It covers license provisioning, server configuration, and onboarding.

SaaS Subscriptions: CRM and ERP access are subject to recurring monthly or annual fees. Failure to pay will result in temporary suspension of the inbox/system.

Enterprise Setup: Dedicated server setup fees are separate from monthly maintenance and must be paid in full before server deployment.

4. Support & Maintenance

Standard Support: Included for all Cawiye and ERP users. This includes bug fixes, security patches, and platform updates.

Maintenance: For Enterprise clients on dedicated servers, WaranCloud handles all server-side maintenance, including backups and resource scaling.

Response Times: We provide bilingual (Somali/English) support via the Cawiye dashboard during standard East African business hours.

5. Data Privacy & Use of Messaging Channels

Data Ownership: The Customer owns all messages, contact lists, and customer data processed through Cawiye. WaranCloud will not access this data except for technical support purposes.

Third-Party Terms: Use of WhatsApp, Messenger, and Instagram via Cawiye is subject to Meta’s Business Terms. Customers are responsible for ensuring their use of these channels complies with Anti-Spam laws.

Security: As a Google Cloud Partner, we ensure all CRM data—whether on shared or dedicated servers—is encrypted and stored following industry best practices.

6. Project Timelines & Delivery

Standard Setup: We aim to have your Cawiye Inbox and basic Web presence live within 7–14 days of receiving your API credentials and brand assets.

Enterprise Deployment: Dedicated server configuration may extend this timeline by 5–7 business days to ensure environment stability.

7. Google Workspace Specific Terms

For customers purchasing Google Workspace through WaranCloud, the specific Google Workspace Resale Terms provided at purchase are incorporated here by reference. Orders for Google Workspace are non-cancellable once provisioned.

8. Limitation of Liability

WaranCloud’s total liability for any claim is limited to the amount paid by the Customer in the six (6) months preceding the claim. WaranCloud is not liable for business interruptions caused by local internet outages, power failures, or the suspension of third-party social media accounts (WhatsApp/Meta).

9. Termination

SaaS Cancellation: You may cancel your subscription with 30 days’ notice.

Data Export: Upon termination, the Customer may request an export of their CRM contact data. Access to the collaborative inbox interface will cease at the end of the billing period.

10. Governing Law

These Terms are governed by the laws of the Region of Banadir, Somalia. The Parties irrevocably attorn to the exclusive jurisdiction of the courts of Banadir.
